Angel Marketplace Terms and Conditions

1. Acceptance of Terms

By accessing or using Angel Marketplace (“the Marketplace”), you agree to abide by and be bound by these Terms and Conditions (“Terms”). If you do not agree to all these Terms, you may not access or use the Marketplace. Angel Marketplace reserves the right to update these Terms at any time. Continued use of the Marketplace following any changes constitutes acceptance of those changes.

2. Definitions

Marketplace: Angel Marketplace, the online platform where users can list, buy, or sell products and services.
User: Any individual or entity accessing the Marketplace, including both buyers and sellers.
Buyer: A user who purchases goods or services on the Marketplace.
Seller: A user who lists goods or services for sale on the Marketplace.
Listings: Product or service advertisements created by sellers on the Marketplace.

3. Eligibility

To use Angel Marketplace, you must be at least 18 years old or meet the minimum age required by the laws of your country. By accessing the Marketplace, you confirm that you are legally able to enter into a contract and that all information you provide is accurate and up-to-date. The Marketplace reserves the right to terminate access to users who violate these requirements.

4. User Accounts

Account Creation: Users are required to create an account to buy or sell items on the Marketplace. You must provide accurate and complete information and keep it up-to-date.
Account Security: You are responsible for maintaining the confidentiality of your login credentials. You must notify the Marketplace immediately of any unauthorized use of your account.
Account Suspension and Termination: The Marketplace reserves the right to suspend or terminate your account if there are indications of fraudulent activities, policy violations, or misuse of the platform.

5. User Conduct

Users must adhere to the following conduct guidelines:

• No fraudulent listings, misleading information, or selling prohibited or counterfeit items.
• Users shall not abuse, harass, or threaten other users or Marketplace staff.
• Users must comply with all applicable local, state, national, and international laws while using the Marketplace.
• Users agree not to spam, distribute viruses, or disrupt the normal operation of the Marketplace.

6. Listing Policy

Accurate Representation: Sellers must provide truthful and accurate descriptions, pricing, and condition of the listed items. Misrepresentation of products is prohibited.
Prohibited Items: Angel Marketplace prohibits the listing of illegal products, counterfeit goods, stolen items, or items that infringe on third-party rights. A complete list of prohibited items can be found in our Prohibited Items Policy.
Compliance: Sellers are responsible for ensuring that their listings comply with all applicable laws and regulations, including intellectual property rights.

7. Transaction Process

Process Overview: Buyers and sellers agree to follow the transaction process established by Angel Marketplace, which includes listing, purchasing, and payment processing.
Marketplace Role: Angel Marketplace acts as an intermediary and is not a party to the transaction between buyers and sellers. We do not guarantee the quality, legality, or safety of items listed on the platform.
Disputes: Any disputes between buyers and sellers regarding the transaction are to be resolved through our dispute resolution process outlined below.

8. Fees and Payments

Transaction Fees: Angel Marketplace may charge fees for transactions, including listing fees and commissions on sales. These fees are non-refundable unless stated otherwise.
Payment Processing: Payments are processed through third-party payment processors. Angel Marketplace does not store or handle users’ payment details.
Refunds on Fees: Any refunds on Marketplace fees are subject to our Fee Refund Policy. Refunds may be issued in the case of errors on the Marketplace’s part but are not guaranteed.

9. Shipping and Delivery

Shipping Responsibility: Sellers are responsible for shipping items to buyers within the time specified in the listing. Buyers should track shipments and report any issues within the designated timeframe.
Shipping Issues: Angel Marketplace does not assume responsibility for lost, delayed, or damaged shipments. Buyers and sellers should resolve any shipping issues directly with the carrier or through our dispute process.

10. Return, Refund, and Cancellation Policy

Return Policy: Each seller sets their own return policy, which must be clearly stated in their listings. Buyers should review each seller’s return policy before purchasing.
Refund Policy: Refunds are subject to the seller’s policies. If the seller does not honour their stated policy, buyers may escalate the issue through our dispute resolution process.
Cancellations: Orders may be cancelled if allowed by the seller’s policy. Sellers reserve the right to refuse cancellations based on their policies.

11. Intellectual Property Rights

Ownership: Users retain ownership of the intellectual property rights in the content they upload but grant Angel Marketplace a non-exclusive, worldwide, royalty-free license to display, reproduce, and promote the content on the platform.
Copyright Infringement: Users must ensure that they have the right to use and sell listed items. If a user believes their rights have been infringed, they may submit a report under our Copyright Infringement Policy.

12. Privacy Policy

13. Liability Disclaimer

Marketplace as Intermediary: Angel Marketplace is a venue for users to connect, and is not responsible for transactions between users, nor does it verify the authenticity of items.
Warranties: Angel Marketplace disclaims all warranties, including but not limited to the quality, safety, legality, or accuracy of listings. Use of the Marketplace is at users’ own risk.
Limitation of Liability: Angel Marketplace will not be liable for damages arising out of or related to the use or inability to use the platform, including but not limited to lost profits, data loss, or damages to goodwill.

14. Indemnification

Users agree to indemnify, defend, and hold harmless Angel Marketplace from any claims, damages, or losses arising out of (i) their use of the platform, (ii) violations of these Terms, or (iii) infringement of any third-party rights.

15. Termination of Services

Termination by User: Users may terminate their account at any time by contacting customer support.
Termination by Marketplace: Angel Marketplace reserves the right to terminate accounts without notice if there is evidence of policy violations, fraud, or harmful behaviour. Upon termination, all pending transactions may be cancelled, and account balances forfeited.

16. Dispute Resolution

Dispute Process: Disputes should be reported to Angel Marketplace within 14 days of the transaction. The Marketplace will facilitate communication between parties and, if necessary, take corrective action.
Binding Arbitration: For unresolved disputes, parties agree to resolve the matter through binding arbitration in the specified jurisdiction.
Jurisdiction: This agreement and any disputes arising from it shall be governed by the laws of [Country/State].

17. Governing Law
